Welcome to RelyOffset. These Terms and Conditions govern the purchase and sale of printing machine parts (“Goods”) and related services (“Services”) provided by RelyOffset. By placing an order on www.relyoffset.com
, you agree to comply with and be bound by these terms.

1. Application of Terms

  • Agreement: The Supplier (RelyOffset) agrees to supply, and the Customer agrees to purchase, Goods and Services in accordance with these Terms and Conditions and any accepted quotation.
  • Exclusivity: These terms supersede any conflicting provisions in the Customer’s order or correspondence unless expressly approved in writing by RelyOffset.

2. Definitions

  • Business Day: Any day except Saturday, Sunday, or public holidays in China.
  • Contract: The legally binding agreement between the Supplier and Customer for the sale of Goods and/or Services under these Terms.
  • Contract Price: The price quoted or agreed upon, excluding applicable taxes unless otherwise stated.
  • Customer: The person or entity that accepts RelyOffset’ quotation or places an order.
  • Delivery Date: The agreed date when Goods are to be delivered, as specified in the order or confirmation.
  • Goods: Printing machine components, spare parts, consumables, and accessories supplied by RelyOffset.
  • Services: Technical support, maintenance consulting, or other professional services provided by RelyOffset.
  • Supplier: RelyOffset, including its subsidiaries, employees, and authorized representatives.

3. Orders and Payment

  • Quotation Validity: All quotations are valid for 30 days unless otherwise stated in writing.
  • Payment Terms: Full payment must be made within 30 days from the invoice date via bank transfer, PayPal, or other agreed methods. Late payments are subject to a 1.5% monthly interest fee.
  • Taxes: All prices exclude VAT, import duties, and applicable taxes unless otherwise specified. Customers are responsible for all local taxes and charges.

4. Delivery and Risk

  • Delivery: Goods are shipped to the Customer’s designated address by the agreed method and within the specified timeframe.
  • Risk and Title: Risk passes to the Customer upon delivery. Ownership of Goods transfers only after full payment is received.
  • Delays: RelyOffset is not liable for delivery delays caused by force majeure events, customs inspections, or carrier disruptions.

5. Warranty and Returns

  • Warranty: All Goods are warranted against manufacturing defects for 12 months from delivery. Services are warranted for 90 days.
  • Returns: Defective Goods may be returned within 30 days for inspection and replacement or refund, following our Refund and Returns Policy.
  • Exclusions: Warranty does not cover damage resulting from improper installation, misuse, voltage issues, or unauthorized repairs.

6. Liability

  • Limitation: RelyOffset’s total liability shall not exceed the Contract Price of the Goods or Services. We are not responsible for indirect or consequential losses, such as lost profits or downtime.
  • Compliance: Goods are produced in compliance with relevant Chinese manufacturing standards. The Customer is responsible for ensuring local compliance in their region.

7. Confidentiality

Both parties agree to treat all confidential information shared during the course of business as strictly confidential and not to disclose it to third parties without prior written consent, unless required by law.

8. Cancellation and Termination

  • Cancellation: Orders may be canceled prior to shipment with written notice and a 10% processing fee. Cancellations after shipment are not accepted.
  • Termination: Either party may terminate the Contract with 30 days’ written notice in case of a material breach by the other party.

9. Changes to Terms

RelyOffset reserves the right to update or amend these Terms and Conditions at any time by posting the revised version on www.relyoffset.com. Continued use of our website or services constitutes acceptance of any modifications.

10. Governing Law and Disputes

  • Law: These Terms and Conditions are governed by the laws of the People’s Republic of China.
  • Disputes: Any disputes arising under these Terms shall be resolved through friendly negotiation. If unresolved, disputes shall be submitted to the courts of Shenzhen, China, or resolved through arbitration under mutually agreed terms.
